2. DEFINITIONS
2.1. "You" are the person who has registered an account with ;
2.2. "Reseller" is an authorized partner that creates and hosts Links, and from whom you can buy Keys;
2.3. " Account" is an account with that
2.3.1. Allows you to purchase Account Balance;
2.3.2. Records your Account Balance;
2.3.3. Allows you to pay for Keys and open Links;
2.3.4. Records a history of your purchases;
2.4. " Account Balance" is the balance of Credit that you have in your Account;
2.5. " Network Credit" is store credit that you can use to exchange for Keys, that unlock Links;
2.6. " Resellers" are authorized partners that host Links and sell Keys;
2.7. " Links" are website URL's that are locked by 's proprietary lock and key management system;
2.8. " Keys" can be purchased with your Network Credit, and unlock Links - granting you access to the locked URL.
2.9. "FREE COUPON" is a grant of free access to a Link;
2.10. " Header Bar" is the area at the top of the website of each Reseller where your Account details (Username, Balance and Link & Key prices) are displayed;

3. HOW DOES WORK?
3.1. is a digital content management service that allows you to pay for Keys, which open Links to digital content through authorized Resellers.
3.2. By purchasing Credit, you may obtain Keys, to open Links, and access secured digital content.
3.3. Each time you purchase a Key, a sum (displayed in the Price Tag Display and/or in the Confirmation Window) will be deducted from your Credit.
3.4. Access to associated Links is granted immediately at the time of your purchase of each Key.
3.5. You own each Key for as long as your Account remains active and in good standing, so you will always have access to the associated Links for as long as your Account remains active and in good standing.
3.6. A history of each Key purchase (and reference to each associated Link) will be made available to you in your Library.
3.7. Every Reseller has the option to provide FREE COUPONS, to access Links at their website;
3.8. To use the service, you will need to have access to the internet.

4. ACCOUNT REGISTRATION
4.1. When you register your Account, you will be asked to provide:

4.5. Mobile Number (verified via SMS PIN)

5. ACCOUNT SECURITY
5.1. You should not allow anyone else to use your Account.
5.2. We will not be responsible for refunding you for any charges that you might incur as a result if you do give your account details to someone else.  
5.3. You must contact us as soon as possible, if you believe someone else has been accessing your account without your permission.
5.4. You can change your password, mobile number, and/or email address in your Account Settings at any time.

6. BUYING Credit
6.1. You will be given an opportunity to buy Credit any time you attempt to buy a Key, and there is insufficient Credit in your Account.
6.2. In order to buy Credit, you must be over 18 years of age and possess a valid credit, debit card.
6.3. Your payment will be processed via a Company payment service partner.
6.4. does not debit your account directly, and does not retain your card details.
6.5. Credit will not be applied to you Account Balance until your payment has been approved and your account, credit or debit card has been debited.
6.6. If the payment service does not receive payment authorisation, or the authorisation is subsequently cancelled, will not add Credit to your Account Balance;
6.7. reserves the right to suspend or terminate your Account at any time, for violations of policies and procedures.
6.8. If you do not use your Account for a period of 12 months it will become dormant, and reserves the right to treat any Credit in your Account Balance as forfeited.

7. HOW MUCH DOES COST?
7.1. The minimum Credit purchase is 3.00 EUR
7.2. The cost to open Links are set by the authorised Reseller, and price of each respective Link Key is clearly displayed in the Link-Price Tag.
7.3. Upon your confirmation, the price of each Key will be subtracted from your Credit, and access to the Links will be granted in real-time.

8. CREDITS & REFUNDS
8.1. "What if I don't like the content that I just purchase, and I want a link refund?"
Simply log into your member account (https://), click on the REFUND link within the Member History, and follow the instructions to briefly describe why you were not satisfied with the Reseller's service. If you need special assistance, please contact accounting@, to receive instant credit -- back into your Account Balance;
8.2. "What if I want my money back?"
does not issue refunds back to bank accounts and/or credit cards. Your Account Balance remains available for you spend.
8.3. "What if is not for me, and I want to cancel my Account and return my Account Balance?"

9. RESPONSIBLE USE
9.1. reserves the right to monitor your use of products and services.
9.2. Content Partner Providers must respect this rate of 0.1% on all quarterly credits issued to dissatisfied customers. reserves the right to terminate any account that exceeds this rate;
9.3. Account Balance holders must respect intention to pay Content Partner Providers for some set fee per link.
9.4. If reasonably considers that you are abusing the service, may restrict or terminate your Account, and claim any Credit in your Account Balance as forfeited.

10. 3RD PARTY CONTENT
10.1. By using the , you are able to access 3RD party content through the Links that are created by authorized Resellers.
10.2. 3RD party content is the property of the respective 3RD part content producers.
10.3. The 3RD party content producers may have their own terms and conditions of use and privacy policies, and your access, use and/or distribution of their content will be independently governed by and subject to such terms and conditions and privacy policies of those 3RD parties.
10.4. You will be able to access and use the content for as long as the content remains accessible through Links, unless otherwise specified in the publisher’s terms and conditions.
10.5. does not guarantee that any content provided through the Links will not be removed for any reason.

11. CHANGES
11.1. reserves the right to make changes to these Terms of Services at any time, at which point You will notified of any respective changes.

12. INTELLECTUAL PROPERTY
12.1. The intellectual property rights in the software and websites that make up belong to or its licensors and are protected by copyright and trade mark laws and treaties around the world. All such rights are reserved by and its licensors..

13. PHOHIBITED
13.1. You may not register multiple Accounts.
13.2. You may not harvest data from , or use any automated software or bots or similar to extract data from , or its Resellers.

14. LIMITS OF OUR CONTROL
14.1. has no editorial control over the content of our Resellers.
14.2. has no editorial over the content that You will access via Links.
14.3. does not endorse and is not responsible or liable for any Reseller or 3RD party content.
14.4. only operates a system which facilitates a "lock and key" management platform.
14.5. does not make any promises that any of the content that you may access via Resellers or Links (or any advertisement in that product) is accurate, complete, up-to-date, non-defamatory, or even that you will like it.
14.6. is a service that is provided over the internet. We will do our best to ensure that our service is running properly at all times, but we are not responsible for problems or temporary outages that have causes outside of our control.

15. LIMITS OF LIABILITY

These are the terms and conditions for becoming a Content Partner and/or reseller.

REVENUE SHARING AGREEMENT

This Authorized Partner Reseller & Revenue Sharing Agreement (the “Agreement”) is entered into by and between having its principal place of business located at:

(the “Company”) and you (the “Representative”), both of whom agree to be bound by this Agreement.

WHEREAS, the Company has developed (the “Product”) and holds ownership of all intellectual property rights in the Product;

WHEREAS, the Company desires to hire the Representative to market the Product for sale; and

WHEREAS, the Company and the Representative desire to enter into an arrangement whereby the Company will share the profits realized from the sale of the Product due to the efforts of the Representative according to the terms and conditions herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties hereto, the Company and the Representative (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follows:

1. TERM.
1.1.This Agreement shall last from the date of execution until terminated by a written notice by either party -- effective immediately at the time of the written notice.

2. EFFECT OF TERMINATION.
2.1.Upon termination according to section 1, the following shall occur:
2.1.1.The Representative shall continue to receive the profit share described herein from any continuing sales as a direct result of the Representative’s efforts;
2.1.2.The Representative shall direct all further inquiries regarding the Product back to the Company;
2.1.3.The Representative shall return or destroy any physical or digital copies of the Company’s proprietary information in its possession including (but not limited to) marketing material, business plans, customer lists, and pricing information.

3. RESPONSIBILITIES OF REPRESENTATIVE.
3.1. In consideration for the profit share granted herein, the Representative shall perform the following duties:
3.1.1.Completing paperwork as needed; and
3.1.2.Performing other such duties and services as may be assigned by the Company to accomplish the aims of this Agreement in the time, place, and manner deemed appropriate by the Representative.
3.1.3. reserves the right to monitor your use of products and services.
3.1.4. Content Partner Providers must respect this rate of 0.1% on all quarterly credits issued to dissatisfied customers. reserves the right to terminate any account that exceeds this rate;
3.1.5. Content Partner Providers may not associate or bundle the Product with any restricted service or activity (e.g., gambling, licensed or adult-oriented media, weapons, pharmaceuticals, trading in heirloom or artifacts, legal advice, financial advice, etc.);
3.1.6. If reasonably considers that you are abusing the service, may restrict or terminate your Account, and claim any Credit in your Account Balance as forfeited.

4. PROFIT SHARE.
4.1. In consideration for the duties performed hereunder, the Representative shall be entitled to ninety percent (90%) of the profits earned for sales ("Earnings") of the Product that are a direct result of the Representative’s efforts.
4.2. All refunds requested by the customer within 24 hours of a Key-purchase will be granted.

4.3. Refunds will be subtracted from Reseller Earnings.
4.4. Resellers who exceed a 1% customer-refund ration are subject to account termination.
4.5. “Profits” are deemed to be calculated by the sale price of the Product, where the Representative may set the sale price of each Product at no less than 0.01 EUR and no more than 1.00 EUR.
4.6. Profits will be paid by the Company into the Representative's registered bank account ("Bank Remittance") once the Earnings have reached or exceeded 50.00 EUR.
4.7. The Company will apply a 25.00 EUR fee to each non-SEPA (e.g., SWIFT) Bank Remittance, which will be deducted by the Company from the Earnings.

5. INDEPENDENT CONTRACTOR.
5.1. The Parties agree that the Parties shall be considered independent contractors and not agents or employees of the other Party.
5.2 .Neither Party shall have authority to make any statements, representations or commitments of any kind, nor to take any action which shall be binding on the other Party, except as may be expressly provided for herein or authorized in writing.

6. CONFIDENTIALITY.
6.1. The Representative shall not, in any fashion, form, or manner, either directly or indirectly:
6.1.1. Disclose or communicate to any party any information relating to the Company’s business or the Product including (but not limited to) customer lists, price points, or marketing plans (the “Confidential Information”);
6.1.2. Duplicate any Confidential information;
6.1.3. Use any Confidential Information other than solely for the benefit of the Company; or
6.1.4. Assist a third party in using any Confidential Information in any manner but solely for the benefit of the Company.

7. APPROVAL OF MARKETING MATERIAL.
7.1. The Representative may not associate or bundle the Product with any restricted service or activity (e.g., gambling, licensed or adult-oriented media, weapons, pharmaceuticals, trading in heirloom or artifacts, legal advice, financial advice, etc.);
7.2. The Representative shall receive written confirmation from the Company in using any marketing materials related to the Product that were not directly provided by the Company.

8. EXPENSES.
8.1. The Representative shall not be entitled to reimbursement for any expenses.

9. INDEMNIFICATION.
9.1. The Representative agrees to defend, indemnify, and hold harmless the Company from and against any all third party claims (or other actions that could lead to losses by the Company) that are based upon the Representatives
9.1.1. violation of the law,
9.1.2. violation of this Agreement, or
9.1.3. violation of any third party’s rights.

10. NO MODIFICATION UNLESS IN WRITING.
10.1. No modification of this Agreement shall be valid unless in writing and agreed upon by both Parties.

11. ENTIRE AGREEMENT.
11.1. This Agreement represents the full understanding of the Parties and shall supersede all previous oral or written agreements regarding the subject matter herein.

12. APPLICABLE LAW.
12.1. This Agreement and the interpretation of its terms shall be governed by and construed in accordance with the laws of the Great Britain and subject to the exclusive jurisdiction of the federal and state courts located in LONDON.

ITNESS WHEREOF, each of the Parties has executed this Consulting Agreement, both Parties by its duly authorized persons.
